These terms regulate the relationship between the Customer and Readynez A/S (hereinafter referred to as Readynez). These terms are valid for all orders made to Readynez and any exceptions must be agreed upon in writing.
Fees and Charges
1.1 The Customer will be invoiced for the full fee at the time of completing the order.
1.2 Payment of the full fee is due 14 days from date of invoice. If the invoice is received later than 30 days before Course start the invoice is due upon receipt.
1.3 If payment has not been made on the due date, i.e. 14 days after ordering at the latest (see section 1.2), Readynez reserves the right to charge the customer for interest, notice fees and collection costs. The interest is calculated from the invoice amount with 1/6 of the at any time applicable interest rate per started month, however, with a minimum of 1.75 % per starting month, starting from due date.
1.4 All prices quoted are exclusive of VAT.
Open Public Courses and Readynez Talent Programmes
Definitions:
- Open Public Courses refer to the publicly scheduled courses Readynez offers and which any company, organization or individual can register one or several delegates on, delivered Virtually or at the Readynez Training Center.
- Readynez Talent Programmes refer to the programs Readynez offer that helps employers recruit and develop talents, more info available here; https://www.readynez.com/en/talent/.
2.1 At any time up to 30 days prior to the commencement date of the Open Public Course or Readynez Talent Programme for which a Customer is registered, the Customer shall be entitled to reschedule to a future Course without penalty, subject to availability.
2.2 If a Customer wishes to reschedule less than 30 days prior to the commencement date of the Open Public Course or Readynez Talent Programme, Readynez has the right to consider it a cancellation in accordance with section 2.4.
2.3 At any time up to 30 days prior to the commencement date of the Open Public Course or Readynez Talent Programme for which a Customer is registered, the Customer shall be entitled to cancel that registration subject only to Readynez’ right to charge the Customer in respect of administration costs, the cost of any course materials provided, the cost of development for the specific Course the Customer is registered for, or Readynez Talent Recruitments already supplied by Readynez to the Customer.
2.4 If the customer wishes to cancel a registration for an Open Public Course or Readynez Talent Programme less than 30 days before the commencement date, then all fees paid by the customer shall be forfeit and any fees that are due but unpaid shall remain due and payable.
2.5 For Talent Programmes, where Readynez helps the Customer with the recruitment of new talents, the following terms apply:
2.5.1 The Customer must provide feedback on presented Candidates within two days after they have been presented to the Customer.
2.5.2 The Customer must complete the first interview with a Candidate no later than two weeks after they have been presented to the Customer.
2.5.3 Readynez has exclusivity in the recruitment process. This means, that all applicants must go via Readynez during the recruitment period. It also includes the applicants who approach the Customer directly after Readynez has started the recruitment process and marketing of the position. If the Customer hires a candidate in the recruitment process outside of Readynez, a full recruitment fee will be charged.
2.5.4 All presented candidates must be considered Readynez’ for 8 months after they are presented to the Customer. If the Customer wishes to offer a position to one of the presented candidates within 8 months of them being presented, the Customer will be charged a full recruitment fee. If the Customer wishes to employ the candidate in another position in the company, the Customer will be charged 50% of the recruitment fee.
2.5.5 Invoicing for the Talent Program happens when the Customer approves a Candidate for employment.
2.5.6 If the recruited Candidate doesn’t fulfil the agreed competency requirements as agreed in the specification document, the Customer can up to 60 days after the first working day of the Candidate ask to have a new recruitment done, at no charge.
Custom Courses and Special Deliveries
Definition
- Custom Courses and Special Deliveries refer to all the non-publicly scheduled events which Readynez deliver for a single company or organisation, either at their location or at the Readynez Training Centre.
2.6. For Custom courses and Special Deliveries of any kind the customer is entitled to reschedule up until 30 days before the delivery date to a future date (no more than 12 months ahead in time). This is subject to availability, can only happen once and after a reschedule the delivery cannot be cancelled at a later date. In such situations, any/all additional costs associated with changes to pre-booked travel and/or accommodation from the original delivery date are still payable.
2.7 If a Customer wishes to reschedule less than 30 days prior to the commencement of the custom course or special delivery, Readynez has the right to consider it a cancellation in accordance with section 2.8.
2.8 For Custom courses and special deliveries the customer is entitled to cancel the delivery up until 60 days before the delivery date. The customer can however be charged for any development costs incurred at the time of the cancellation.
2.9 If the customer wishes to cancel a custom course or special delivery less than 60 days before the delivery date, then all fees paid by the customer shall be forfeit and any fees that are due but unpaid shall remain due and payable. This includes payment of any/all pre-booked travel and/or accommodation for the instructor.
2.10 Readynez reserves the right to reschedule or cancel any delivery (public, custom or other) where Readynez believes that it is impractical or undesirable to deliver. In any such case Readynez shall endeavour to notify the customer of any such rescheduling or cancellation at the earliest opportunity. Readynez shall bear no liability in respect of such rescheduling or cancellation, but Readynez shall reimburse all Fees already paid if the customer does not wish to attend any future delivery, less the cost of any materials, development or services already delivered to the customer or in progress.
Subscription-based Services
Definitions:
- Subscription-based Services refer to services delivered by Readynez to the customer, where the customer pays a recurring price at regular intervals for access to the service.
- The terms outlined here refers to Training-related services, not software-related services, even if the Training-related services are delivered through a software-based service.
When the customer and Readynez enters into a separate Agreement related to Subscription-based services, the below terms apply unless specifically mentioned in the Agreement.
3.1 The included employees (personal licenses) can participate in all the Readynez delivered courses they want as specified in the Agreement.
3.2 For all courses delivered as part of the Agreement, the following apply;
3.2.1 Exam voucher is not included in the price.
3.2.2 For certain courses the exam voucher is a mandatory part of the course, and for those the cost of the exam voucher will be invoiced separately. The invoice will be issued at the time of booking the course. It applies to the following courses and with the following additional costs:
- Courses from EC-Council: €695 per exam (not applicable to exams for Essential courses, they are not included in the course delivery).
- Courses from IAPP: €495 per exam
- Courses from ISO: €595 per exam
3.2.3 If an employee wants to join a Publicly delivered course at the Readynez Training Centre, the associated additional direct costs are invoiced separately.
3.3 If Custom Courses are included in the Agreement, the following additional terms apply to these Custom Courses:
3.3.1 All Custom courses require a minimum of 10 delegates attending.
3.3.2 If less than 10 delegates attend a Custom course, an additional cost per user below the 10 delegates will be incurred, equating to €300 per user per day.
3.3.3 Custom courses can be delivered at the earliest 3 months after the start date of the Agreement.
3.3.4 If the Customer wants the instructor to deliver the Custom course at the Customers location, the associated additional costs are invoiced separately to the customer.
3.3.4 If the Customer wants the Custom course delivered at the Readynez training centre, the associated additional costs are invoiced separately to the Customer.
3.3.5 Potential development costs associated with tailoring the Custom course is not included.
3.4 If the Customer has purchased an additional Exam bundle related to the specific Training License, then the following terms apply:
3.4.1 The Customer is entitled to maximum 1 exam voucher per Course.
3.4.2 The Customer is only entitled to an exam voucher for Courses that the Customer has completed.
3.5 The Agreement is irrevocable for a period of 12 months. Licenses are automatically renewed for a new license period at the last day of the current license period (renewal date), unless terminated at least 30 days before the renewal date.
3.6 The start-date for a license under this Agreement, is the date where the Customer makes the first course booking for that specific license.
3.6.1 The start-date for a license under this Agreement, will though always be no later than three months after the date the license was purchased.
3.7 During the term of the Agreement, the customer can change the employees included in the Agreement, though:
3.7.1 A personal license can be transferred to another employee after a period of 6 months.
3.7.2 If an employee has transferred their license to a colleague as per above, they can’t become part of the Agreement again for a period of 12 months after the transfer.
3.7.3 When a license is transferred, the license will automatically get renewed for a new 12-month period, starting on the day of the transfer.
3.8 Employees must attend all live courses in which they are enrolled.
3.8.1 If an employee doesn't attend a course for which the employee is enrolled into, or cancel attendance less than 30 days before the start date of the Course, then a no-show fee of €250 is payable.
3.9 Courses must be completed prior to the end date of the license.
3.10 Money-Back Guarantee; If the Customer end up having paid more for the licenses under this Agreement, than the actual completed training courses would have cost based on Readynez list prices for the specific courses, calculated at the end of the first 12-month license period and assuming a minimum of one course completed per license, we will refund the difference.
3.11 Courses may be added to or removed from the Agreement during the subscription period.
3.12 Readynez reserves the right to amend prices for the licenses, but price increases cannot be applied to existing Agreements within the first 12-month after the start date.
Rights in Course Materials
4.1 The property and any copyright or other intellectual property rights in any Course Materials shall belong to Readynez, subject only to the right of the Customer to use the Course Materials for the purposes of the Course and for the Customer’s own personal use and information.
4.2 The Customer shall not be entitled to copy the Course Materials or any part thereof without the express permission of Readynez.
Warranties and Liability
5.1 Readynez warrants to the Customer that the Course(s) or Talent Programmes will be provided using reasonable care and skill and, as far as reasonably possible, in accordance with the published literature on the Readynez website.
5.2 Readynez shall not be liable to the Customer or be deemed to be in breach of the Contract by reason of any delay in performing, or any failure to perform, any of Readynez’s obligations in relation to the Course or Talent Programme, if the delay or failure was due to any cause beyond Readynez’s reasonable control.
Certification Guarantee
6.1 If the Customer fails to achieve the relevant certification after initial completion of the Course, then the Customer shall be permitted to return to the same Course, delivered by Readynez, as many times as required during the 12-month period following attendance of the Course subject only to availability of Courses and payment by the Customer of accommodation fees, any exam fees, any costs for Online Lab access and such other incidental expenses or charges (if any) that may be incurred by the Customer or which may reasonably be levied by Readynez.
6.2 The Customer is expected to bring their Course materials when attending Courses under the Certification Guarantee. Should the Courseware have updated and the Customer would like to purchase this, a charge will be made.
General
7.1 These Conditions (together with the additional terms, if any, confirmed in writing by Readynez at time of completing the order) constitute the entire agreement between the parties, supersede any previous agreement or understanding and may not be varied except in writing between the parties.
7.2 Danish law shall apply and the parties agree to submit to the exclusive jurisdiction of the Danish courts.
7.3 If nothing else is mentioned in the published information or proposal by Readynez, the Course or Readynez Talent Programme will be conducted in English.
7.4 Please note that filming and photography may take place at the training centre. This media may be used by Readynez and its affiliate organisations for both security and promotional reasons. By entering the training centre you hereby acknowledge and consent to such recordings being made. Please note that we are entitled to make full use of any film and/or recording in all current and future media worldwide without any liability or payment to you.
7.5 If nothing else is mentioned in the published information or the proposal by Readynez, the open, public courses will be delivered Virtually, alternatively at our training centre.
